Can all shareholders and directors of a Hong Kong company be non-Hong Kong residents?

Yes, residents of any country can register a Hong Kong company. Hong Kong law does not impose any restrictions on the nationality of shareholders and directors of Hong Kong companies. Anyone aged 18 or above can serve as a shareholder (holding shares in a company incorporated in Hong Kong) and director of a Hong Kong company. However, according to Hong Kong legislation, if all shareholders and directors are non-Hong Kong residents, the company must have a Hong Kong resident or Hong Kong company as company secretary.

If the company temporarily has no business, is audit and tax filing still required?

The Complete Plan's second year is cheaper than its first — the bank account opening service is one-off and is not charged again. Within the turnover cap, year two costs HK$8,555 (HK$9,705 with the Kai Tak address), less than year one's HK$9,895.

Is a company secretary mandatory? What qualifications are required?

According to current Hong Kong legislation, a limited company must appoint a company secretary. Their responsibilities include arranging meetings, preparing meeting minutes, submitting statutory documents to government departments, and ensuring the company complies with statutory requirements.

Company secretary requirements:
  • If an individual, must be ordinarily resident in Hong Kong (i.e., a Hong Kong resident)
  • If a corporate body, must be a Hong Kong registered limited company
Important note: If a company has only one director, that director cannot simultaneously serve as company secretary - this is explicitly stated in Section 475(2) of the Companies Ordinance (Cap. 622).

What should I do if my Hong Kong company is no longer operating?

  2. Winding Up - suitable for companies with assets, liabilities, or that do not meet deregistration conditions. Must appoint a liquidator to handle company affairs.
