Terms of Service

1. Who these terms are with
These Terms of Service (“Terms”) are a contract between you (“Client”, “you”) and Chinglink Business Limited (CR 75604219), a company incorporated in Hong Kong, licensed as a Trust or Company Service Provider under licence TC009047, with registered office at RM 1921, 19/F, Star House, 3 Salisbury Road, Tsim Sha Tsui, Kowloon, Hong Kong (“Chinglink”, “we”, “us”).
By instructing us, accepting a quote, or paying for a service, you agree to these Terms.
2. Services
We provide the following, described in full on our website:
- Hong Kong company formation — Limited company and Unlimited company
- Company Secretary services
- Virtual Office (registered address)
- Mainland China company (WFOE) registration in Shenzhen, Qianhai and Guangzhou
- Bookkeeping and Tax, including coordination of statutory audit
- Additional Services — bank account introductions, funding/subsidy introductions, trademark filing assistance
Prices are as quoted at the time of order and as published on our pricing page; the two will never knowingly disagree. Prices may change for future orders; a price you have already agreed to will not be changed retroactively.
3. Due diligence is a condition of service
Because we hold a TCSP licence, we are legally required to complete customer due diligence (identity, beneficial ownership, source of funds, purpose of business) before we act for you. This applies regardless of when payment is made or how urgently you need the service.
- We may decline to onboard you, or decline a specific instruction, without being obliged to explain our reasons.
- We may require additional documents, a video/phone verification call, or certified copies of identity documents as part of onboarding.
- Any turnaround estimate (including any “1–3 working days” figure quoted for Hong Kong Limited company formation) is measured from the point due diligence clears, not from the point you pay or instruct us, and is an estimate, not a guarantee.
4. Bank account opening
Where a service includes assistance opening a bank account (including any stated success rate for mainland applicants), this is an introduction and preparation service. We do not control, and cannot guarantee, a bank's decision to open an account. Applicants who we assess as unlikely to be approved will be told before we proceed, but final approval rests solely with the bank.
5. Your obligations
You agree to:
- provide accurate, complete information and documents, and tell us promptly if anything changes;
- cooperate with due diligence and any ongoing monitoring requests;
- meet your own statutory obligations that survive our engagement — for example, notifying us of director/member/secretary or registered-office changes within 15 days, and share capital changes within 1 month, so we can make the required filings on time;
- pay fees when due.
You remain the legal owner and ultimately responsible for your company's compliance; Chinglink acts as your service provider, not as a substitute for your own governance duties.
6. Third parties we work with
Some services are delivered wholly or partly through third parties:

We select these partners on reasonable commercial grounds (price and efficiency) but do not guarantee their performance beyond our duty to select and manage them reasonably.
7. Payment
Fees may be paid on-site through our website checkout, or off-site by bank transfer or invoice, as agreed at the time of order. Statutory and recurring services (e.g. company secretary, annual filings) are billed on the cycle stated in your quote.
Non-payment: if fees for a statutory role we hold (for example, company secretary) are not paid, we may resign that role. Hong Kong law requires the company secretary role to be filled continuously, and requires you to be notified when we resign — we will do so, and you remain responsible for appointing a replacement without delay.
Refunds: once due diligence has cleared and we have begun work on a service — including any filing, registration or statutory work — fees for that service are non-refundable, including where a third party (for example, a bank or the Companies Registry) later declines an application or filing. If you cancel before work begins, we will refund fees paid for that service.
8. What we don't do
- We do not provide legal advice, tax advice, or investment advice. Where we recommend you seek independent advice, you should do so.
- We are not, ourselves, your company's auditor — statutory audits are performed by independent firms in our audit vendor panel.
- We do not guarantee outcomes controlled by third parties (bank decisions, government processing times, mainland partner timelines).
9. Confidentiality and reporting duties
We keep client information confidential, except where disclosure is required by law — including, where applicable, filing a suspicious transaction report to the authorities. Hong Kong law prohibits us from telling you if we have made such a report (“tipping-off”), and this clause does not override that legal duty.
10. Liability
To the extent permitted by law:
- Our total liability to you for any claim arising from a service is limited to the fees you paid us for that specific service.
- We are not liable for indirect or consequential loss, or for the acts, omissions or decisions of third parties we engage or introduce you to (banks, mainland agents, audit firms), beyond our duty to select and manage them reasonably.
- Nothing in these Terms limits liability that cannot lawfully be limited, including liability arising from our own fraud or wilful default.
11. Termination
Either party may end an engagement for a specific service on reasonable notice. Where we hold a statutory role for you (company secretary, registered address), we will follow the notice and resignation process required by law, including notifying you and, where applicable, the Companies Registry.
We may suspend or end an engagement immediately if we reasonably believe continuing would breach our AML/CTF obligations under licence TC009047.
12. Intellectual property
The Chinglink website, its content, and any templates or materials we provide remain our property (or that of our licensors) unless we agree otherwise in writing. Documents we prepare specifically for your company (e.g. your incorporation documents) belong to you.
13. Changes to these Terms
We may update these Terms from time to time. The version in force is the one published on chinglink.com at the time of your instruction; material changes will be reflected here with a new “last updated” date.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have exclusive jurisdiction over any dispute arising from them.
