What is a Hong Kong unlimited company? How does it differ from a limited company?
Key features of unlimited companies:
- Unlimited liability - Owners must bear unlimited responsibility for all company debts, and personal assets may be used to repay company debts
- Separate legal entity - An unlimited company is still a separate legal entity that can sign contracts and own assets in the company's name
- No public disclosure - No need to submit annual returns or financial statements to the Companies Registry, offering higher privacy
- No audit required - Generally no statutory audit is required, saving costs
- Limited liability - Shareholders' liability is limited to their capital contribution
- Public disclosure required - Must submit annual returns, with some information publicly available
- Audit required - Annual statutory audit is required
How long does it take to establish an unlimited company? What are the costs?
Processing time:
- Standard processing - Approximately 3 working days to complete registration
- Express service - Can be completed in as fast as 1 working day (additional charges apply)
- The entire process includes: preparing documents, submitting business registration application, obtaining business registration certificate
- First year business registration certificate fee

Can an unlimited company be converted to a limited company?
Why conversion is needed:
- Limit liability - As business expands, wish to protect personal assets
- Financing needs - Limited companies are easier to obtain bank loans or investments
- Business expansion - Plan to introduce new shareholders or investors
- Business image - Some clients or partners prefer to work with limited companies
Step 1: Deregister unlimited company
- Settle all debts and business dealings
- Apply to the Inland Revenue Department for "Notice of No Objection to Deregistration of Business Registration"
- Submit deregistration of business registration application
- Wait for Inland Revenue Department approval of deregistration
- Choose new company name (can be similar to original company but cannot be identical)
- Prepare articles of association and registration documents
- Submit registration application to Companies Registry
- Obtain company registration certificate and business registration certificate
- Open bank account and handle business transfer
Costs: Including new company registration fee (HK$1,720), business registration certificate fee (HK$2,350) and professional service fees, total cost approximately HK$5,000-8,000.
Important notes:
- Different legal entity - New company is a completely new legal entity, completely independent from original unlimited company
- Contracts need re-signing - All contracts need to be re-signed or transferred in new company name
- Asset transfer - Need to formally handle asset and business transfer procedures
- Tax treatment - May involve tax implications of asset transfer, recommend consulting accountant
- Debt liability - Original unlimited company's debt liability will not automatically transfer, members still responsible
Can unlimited companies open bank accounts? Is it more difficult than limited companies?
Basic requirements if a bank is willing to consider the application:
- Company documents - Certificate of Incorporation (CI), Business Registration Certificate (BR), Articles of Association
- Owner/member documents - identity proof, address proof, business plan
- Business proof - contracts, invoices, evidence of business dealings
- Significant controller information - disclosure of the company's significant controllers (SCR)
We assess each case first, and if we judge the chance of success to be low, we will tell you plainly rather than let you submit an application that is unlikely to succeed.

What does "unlimited liability" specifically mean for unlimited companies? How big is the risk?
Meaning of unlimited liability:
- No debt ceiling - Members must bear responsibility for all company debts with no upper limit
- Personal asset risk - If company assets are insufficient to repay debts, creditors can pursue members' personal assets (such as properties, deposits, investments, etc.)
- Joint and several liability - If there are multiple members, each member must be responsible for all company debts, cannot share proportionally
- Continuing responsibility - Even after leaving the company, may still be responsible for debts incurred before leaving
- Business nature - Low-risk businesses (such as consulting services) have lower risk, high-risk businesses (such as construction projects) have higher risk
- Debt scale - If business involves large contracts or borrowing, risk increases significantly
- Insurance protection - Purchasing appropriate professional liability insurance can reduce some risks
